TYPES OF COMPANIES IN UAE

LIMITED LIABILITY COMPANY (LLC)

A shareholder’s liability is limited to the shares they hold in a company’s capital.

An LLC may conduct any type of activity except, banking, investment or insurance.

An LLC can legally trade anywhere in the UAE including the Free Zones.

There are no restrictions on the location where the company can rent/buy office premises.

FREEZONE (DUBAI & ABU DHABI)

Freezones permits 100% ownership of firm.

Owner is eligible to open a business bank account in Dubai.

Freezones provide 100% Tax Exemption, with some exceptions.

FZ can engage in business internationally, trade freely within their own Free Zone and other Free Zones within the UAE and lease and purchase property.

BRANCH OF A FOREIGN COMPANY

Setting up a foreign branch office in UAE permits you to perform all activities offered by its parent company.

Setting up a Representative Office allows you to market the services or products offered by the parent company. A Representative office cannot commercially trade or sign contracts in the UAE.

Both these legal forms need a local service agent.

CIVIL ESTABLISHMENT (CIVIL COMPANY)

Partners of any nationality can practice professional activities in accordance with DED business regulations.

There is a limitation to the number of managers that can be appointed.

A civil company in Dubai or can have more than one branch. Each branch may undertake one or all the activities included in the main business license.

SOLE ESTABLISHMENT (SOLE PROPRIETORSHIP)

An individual of any nationality can set up a sole proprietorship, also known as a professional license.

if the individual is a national of any country other than the UAE or GCC, they need a Local Service Agent (LSA) in support of the license.

No minimum capital is required.

There are regulations on the number of branches that a sole establishment can have.

BRANCH OF A LOCAL COMPANY

A branch office setup is a separate office or branch of an existing company with a license in the UAE.

The DED will establish which activities permitted on the parent license can be undertaken at the branch.

A branch will have its own license and they must hold one or all the activities held in the main license.

The trade name must be the same as the parent company.
